TeamPulse Affiliate Program Terms and Conditions

1. Overview and Relationship

These terms govern the relationship between TeamPulse (the "Company") and the participant of the affiliate program (the "Affiliate"). Registration in the program constitutes full acceptance of these terms.

The affiliate program is an independent collaboration. The Affiliate is not an employee, agent, or representative of the Company.

2. Eligibility

The program is open to B2B partners: HR consultants, integrators, business trainers, and other HR-tech professionals.
Registration is subject to approval by the Company. The Company may decline without giving reasons.
Self-referrals (registering yourself or your own company) are prohibited.
The Affiliate must have full legal capacity or represent a legal entity.

3. Commission Structure

50% of the integration (setup) fee — one-time payment upon referral conversion.
10% of the monthly subscription amount — recurring commission credited monthly for the entire duration of the client's contract.

Commissions are credited after conversion is confirmed by the administration. Amounts are denominated in EUR.

4. Attribution and Cookies

Attribution is tracked via the referral link containing the Affiliate's unique code.
A cookie (tp_ref) is stored for 30 days from the time of click.
If a visitor clicks another affiliate's link before the 30-day window expires, attribution transfers to the most recent affiliate ("last click wins").

5. Payments

Minimum payout threshold: €50.
Payouts are processed monthly upon the Affiliate's request.
Processing time: up to 14 business days after approval.
Available payment methods: PayPal, bank transfer (IBAN), Wise.
Tax obligations are the Affiliate's responsibility in accordance with their jurisdiction.

6. Prohibited Activities

Spam or unsolicited mass communications.
Cookie stuffing or attribution manipulation.
Paid advertising (PPC) using the TeamPulse brand without written permission.
Use of TeamPulse trademarks in domain names.
Misleading potential clients about TeamPulse capabilities or pricing.
Any activity violating applicable laws and regulations.

7. Termination

Either party may terminate participation with 30 days written notice.
The Company may immediately suspend or terminate the Affiliate's participation for violation of these terms.
Earned and confirmed commissions will be paid out regardless of termination.
Unconfirmed commissions are forfeited upon termination for cause.

8. Intellectual Property

The Company grants the Affiliate a limited, non-exclusive license to use the TeamPulse logo and marketing materials solely for promotion within the affiliate program. The license is valid for the duration of participation.

9. Liability and Indemnification

The Company shall not be liable for indirect, incidental, or consequential damages. Total liability is limited to commissions paid to the Affiliate in the preceding 12 months.

The Affiliate agrees to indemnify the Company against any losses arising from the Affiliate's breach of these terms.

10. Privacy and GDPR

The Company processes the Affiliate's personal data in accordance with GDPR (Regulation (EU) 2016/679).
Affiliate data (name, email, payment details) is retained for program administration and accounting purposes (up to 7 years per German law).
The Affiliate has the right to access, rectify, erase, and port their data.
The tp_ref cookie is used solely for referral attribution and does not collect visitors' personal data.

11. Governing Law

These terms are governed by the laws of the Federal Republic of Germany. Jurisdiction: courts of Braunschweig, Germany.

12. Amendments

The Company reserves the right to amend these terms with 30 days' notice via email. Continued participation after changes take effect constitutes acceptance of the new terms.
